1. Introduction
To use the Wellcee Membership Value-Added Services (hereinafter "the Services"), please read, understand, and comply with this Wellcee Membership Value-Added Services Agreement (hereinafter "this Agreement") carefully. When you purchase or use any paid features within the Wellcee application, you are deemed to have read and agreed to be bound by this Agreement.
2. Confirmation and Acceptance of Agreement Terms
2.1 Acceptance of Terms
This Agreement serves as a supplementary agreement to Wellcee's Terms of Service and Privacy Policy. You may only purchase our value-added services upon your full agreement to the following terms. Wellcee will provide value-added services to users in accordance with the following paid service terms. You must strictly comply with this Agreement when using the value-added services. In the event of a breach, we reserve the right to suspend or terminate the Services at any time.
2.2 Scope of Applicable Users
Wellcee provides network services through a combination of paid and free features. You must first register as a general user before purchasing value-added services. If you are under 18 years of age, please read and confirm this Agreement in the presence of your legal guardian.
2.3 Amendments and Updates to Terms
We may amend this Agreement in accordance with changes in applicable laws, policies, or business models. The most current version of the terms shall govern user rights, obligations, purchase procedures, and fee structures. If a user disagrees with any amendment, this does not affect any liabilities or obligations already incurred. Continued use of Wellcee value-added services after any amendment constitutes acceptance of the revised Agreement. If you do not agree to any modification or change, you may discontinue use of the value-added services.
3. Description of Services
3.1 Wellcee provides members with a variety of exclusive value-added services, including but not limited to: increased daily chat limits, increased listing quotas, SMS notifications, priority review, and increased daily refresh/top-up counts. Users may log in to Wellcee to view their service details (including the name of purchased services, service duration, and current service status). All value-added services provided by Wellcee are supplementary tools and do not constitute any guarantee or warranty regarding rental outcomes.
3.2 Wellcee reserves the right to adjust the types, features, pricing, and benefits of existing value-added services based on user demand, market conditions, and changes in products or service categories.
4. Service Fees
4.1 Standard pricing is listed on the payment page. Wellcee may offer discounts based on the duration of the subscription selected. Specific details are subject to the content displayed on the payment page. The service period is determined by the duration you select and for which you pay the corresponding fee.
4.2 Wellcee reserves the right to adjust its fee schedule at any time based on actual circumstances. Users who purchase services before the announced effective date of any price change will not be affected during the already-purchased service period, and no additional payment for the difference will be required. Users who make payments after the announced effective date must pay according to the updated fee schedule.
4.3 Users should review updated or revised service terms published on the Wellcee platform in a timely manner. Regarding changes to service terms and fees, users may:
- 4.3.1 Discontinue use of the Wellcee membership services.
- 4.3.2 If no action is taken and the user continues to use the value-added services, the user is deemed to have accepted the changes to the service terms and fees.
5. Activation and Suspension of Services
5.1 Service Activation
Important: When users purchase via online banking, WeChat Pay, Alipay, Apple third-party payment, or PayPal, the purchase is confirmed and completed upon successful payment. Membership value-added fees represent the price of the online goods corresponding to the purchased service and are not prepayments, deposits, down payments, or savings. Once activated, the Services cannot be transferred or cancelled. (Wellcee does not support refunds for purchases made due to user error.)
5.2 Activation Conduct Standards
Without Wellcee's authorization, users must not activate or obtain value-added services through the following means, which shall constitute a breach of this Agreement:
- 5.2.1 Activating the Services for personal or others' use for commercial, profit-driven, or non-personal purposes;
- 5.2.2 Activating the Services for oneself or others using any bot software, spider software, crawler software, screen-refresh software, or any other automated program or software;
- 5.2.3 Activating or obtaining the Services through any improper means or in violation of the principle of good faith, including but not limited to exploiting platform vulnerabilities or circumventing the platform's commercial or technical rules;
- 5.2.4 Activating the Services for oneself or others through means not designated by Wellcee;
- 5.2.5 Activating the Services for oneself or others by infringing on the lawful rights of Wellcee or third parties, such as through third-party platforms for proxy top-ups or payments;
- 5.2.6 Activating or obtaining the Services in any manner that violates Wellcee's Terms of Service, Privacy Policy, or applicable laws, administrative regulations, or national policies.
- 5.2.7 Membership privileges are valid only for tenants and individual landlords. If the platform detects commercial activity such as acting as an agent or sub-landlord on your account, the platform's standard rules will apply and certain membership features (such as listing publication) may be restricted.
5.3 Service Period
- 5.3.1 The service period is determined by the duration you select and for which you pay the corresponding fee.
- 5.3.2 Upon expiration of the value-added service period, Wellcee will cease providing membership value-added services.
- 5.3.3 Unbinding or changing your registered phone number during an active membership period may result in termination of membership services.
5.4 Interruption and Termination of Services
- 5.4.1 In the event of force majeure or government actions beyond Wellcee's control that prevent continued service delivery, Wellcee will notify users as soon as possible but shall not be liable for any resulting losses, and no refund of value-added fees will be issued.
- 5.4.2 If a user seriously breaches any provision of this Agreement, Wellcee reserves the right to immediately terminate part or all of the purchased services, and to temporarily or permanently suspend the user's account and access rights, without prior notice and without refunding any paid service fees.
- 5.4.3 If a user voluntarily requests termination of value-added services, paid value-added fees will not be refunded, unless otherwise required by applicable law or stated by the platform.
- 5.4.4 Users acknowledge and understand that membership value-added services are a special category of service. If a user voluntarily cancels or terminates their membership during an active paid service period, no refund of the membership activation fee will be issued, except where Wellcee is at fault.
6. Platform Rights and Obligations
While providing members with exclusive privileges and value-added services, we make every effort to ensure service stability and provide technical support, including but not limited to:
6.1 Consultation services for issues encountered during registration, login, and purchase of value-added services. Official contact: hello@wellcee.com
6.2 Effective content and technical support for value-added services, including daily operations, maintenance, bug fixes, and updates;
6.3 Respecting personal privacy is our responsibility. Without your authorization, we will not disclose or reveal your real-name information, registration data, or saved private content, except as required by applicable laws and regulations.
6.4 The platform will make every effort to protect servers and technical equipment from malicious attacks in order to safeguard your legitimate interests.
7. User Rights and Obligations
7.1 Important Terms
Users must not purchase Wellcee value-added services or products through any unauthorized third-party platform or channel. Users must not provide their accounts to third parties for proxy payments. If a user's privacy is compromised due to a violation of the above, the user shall bear the resulting consequences. If losses are caused to Wellcee, the user shall be liable for breach of contract and shall compensate for such losses.
7.2 Misuse and Breach of Contract
If a user engages in any breach of contract, misuse of services, or any conduct deemed improper or illegal by Wellcee (including conduct or communications within or outside the platform), Wellcee reserves the right to investigate or terminate the account without refunding any value-added fees.
7.3 Users must not engage in the following conduct when using the Services, including but not limited to:
- 7.3.1 Publishing, transmitting, distributing, or storing content that violates national laws, endangers national security or social stability, violates public order or social morality, or that is insulting, defamatory, obscene, or violent;
- 7.3.2 Publishing, transmitting, distributing, or storing content that infringes on others' rights of reputation, image, intellectual property, trade secrets, or other lawful rights;
- 7.3.3 Publishing false listings or information, or engaging in broker-related activities;
- 7.3.4 Fabricating facts or concealing the truth to mislead or deceive others;
- 7.3.5 Abusing customer service functions or harassing customer service staff or other platform personnel;
- 7.3.6 Engaging in other conduct that violates applicable laws, regulations, policies, public order, or social morality;
- 7.3.7 Collecting usernames, email addresses, or other information of other users of the Services in any manner, and using spam emails, chain letters, junk messages, or instant messages to disturb or harass other users;
- 7.3.8 Publishing content containing advertisements, promotions, or marketing materials through the Services.
7.4 Responsibility for One's Own Conduct
- 7.4.1 Users fully understand and agree that they must be responsible for all actions taken under their registered account, including but not limited to content posted by the user and any consequences arising therefrom. Users should exercise their own judgment regarding content within the Services and bear all risks arising from use of such content, including risks arising from reliance on the accuracy, completeness, or usefulness of such content.
- 7.4.2 If a user violates Wellcee's Terms of Service, Privacy Policy, or this Agreement, Wellcee reserves the right to take certain measures against the user's account at any time without notice, including but not limited to partially or fully freezing or terminating the user's account access.
7.5 Account Security
Users are solely responsible for the proper and correct management, use, and maintenance of their Wellcee account and account password. Users must take necessary and effective measures to keep their account passwords confidential. Wellcee shall not bear any liability for account password leaks or losses arising from the user's own mismanagement or improper use, where such leaks or losses are not caused by Wellcee.
8. Governing Law and Jurisdiction
The interpretation, validity, and resolution of disputes arising from this Agreement shall be governed by the laws and regulations of the mainland of the People's Republic of China. Any disputes arising from or in connection with the content or performance of this Agreement shall first be resolved through friendly negotiation. If negotiation fails, all parties agree to submit the dispute to the Shanghai Arbitration Commission for arbitration in accordance with its arbitration rules. The arbitration award shall be final and binding on all parties.
